Terms and Conditions

While translations of these Terms and Conditions are provided for your convenience, please note that the English language version is the legally binding version. In case of any discrepancies between translations, the English version shall prevail.
1. Introduction
Welcome to Eylo, Inc. ("Eylo," "we," "us," or "our"). These Terms and Conditions of Service ("Terms") govern your access to and use of the Eylo mobile application and related services ("the Eylo app" or "Services"). By using Eylo, you agree to be bound by these Terms, forming a legally binding agreement between you and Eylo.
Eylo provides AI-powered health and wellness insights, tracking tools, and personalized recommendations designed to assist you in pursuing health and lifestyle goals. However, Eylo is not a medical or healthcare provider, and no physician-patient or professional-client relationship is established by using our Services.
If you do not agree to these Terms, you must not use Eylo. By continuing to use our Services, you confirm that you have read, understood, and accepted these Terms.
2. Definitions
- "Services": The Eylo app, features, functionalities, and content provided by Eylo, including AI-generated recommendations and insights.
- "User or You": Any individual who accesses or uses the Eylo app.
- "Content": All text, data, images, graphics, and other materials available through the Eylo app.
- "User-Generated Data": Data you submit, including chat inputs, food logs, activity logs, and other information you choose to share.
- "AI Features": Functionalities powered by large language models (LLMs) or other AI technologies that generate personalized suggestions or insights based on your inputs.
- "Personal Data": Information that can identify you, governed by applicable data protection laws.
- "Agreement": These Terms and the incorporated Privacy Policy.
3. Acceptance of Terms
By creating an account or using the Eylo app, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated by reference.
a. Eligibility
You must be at least 18 years old and have the legal capacity to enter into this Agreement. By using Eylo, you represent that you meet these criteria. If we learn that a user is under the required age without valid parental or guardian consent where applicable, we will terminate the account and remove associated personal data, except where retention is required by law.
b. Agreement During Profile Creation
When creating a profile, you will be prompted to review and accept these Terms and our Privacy Policy. If you do not agree, you cannot create an account or use the Services.
c. Changes to the Terms
We may update these Terms from time to time. Material changes will be communicated via in-app notifications, email, or other appropriate means, with reasonable notice. Your continued use of the Eylo app after the updated Terms take effect constitutes acceptance. If you do not agree with revised Terms, you must discontinue using the Services.
4. Description of Services
Eylo provides tools, insights, and recommendations generated by AI to help you track activities, log food, set goals, and gain informational guidance. While these Services aim to support your wellness journey, they are not a substitute for professional medical, nutritional, or fitness advice.
a. Core Services
- Personalized Recommendations: AI-generated suggestions based on your inputs (e.g., weight, goals, activity level).
- Tracking Features: Tools to log and analyze food intake, activities, and related wellness data.
- Health Insights: Informational tips and progress tracking to keep you motivated.
b. Limitations of Services
Eylo does not provide professional healthcare or medical advice. Always seek guidance from qualified professionals before making decisions that could affect your health or well-being. Any recommendations are for informational purposes only and may not be accurate, current, or comprehensive.
c. Service Modifications
We may add, remove, or modify features at any time. If significant changes affect your use of the app, we will inform you in advance.
d. Health-Risk Warning for Vulnerable Users
Eylo is not intended for individuals who have been diagnosed with an eating disorder (e.g., anorexia nervosa, bulimia nervosa, binge-eating disorder) or any other serious medical or mental health condition that could be affected by dietary restriction, weight-loss coaching, or activity tracking. If you have—or suspect you may have—such a condition, do not rely on Eylo. Instead, consult a licensed physician, registered dietitian, or qualified mental-health professional before using the Services. The information and recommendations generated by Eylo are for general wellness purposes only and do not substitute for professional medical care, diagnosis, or treatment.
5. User Obligations and Conduct
You agree to:
- Provide accurate, up-to-date information.
- Not use Eylo for illegal, harmful, or offensive activities.
- Maintain the confidentiality of your login credentials and promptly notify us at contact@eylo.club if you suspect unauthorized access.
- Use Eylo respectfully, refrain from submitting abusive, unlawful, or infringing content.
6. User-Generated Content
You retain ownership of any data or content you submit. By using Eylo, you grant us a non-exclusive, worldwide, royalty-free license to process, store, and use your User-Generated Data solely to deliver and improve our Services. This license does not transfer ownership of your data to Eylo.
You are responsible for the legality and accuracy of your inputs. We may review, remove, or block content that violates these Terms, applicable laws, or that we consider harmful or inappropriate.
7. AI and Data Use Disclaimer
Our AI Features rely on LLMs and third-party AI service providers (e.g., OpenAI, Anthropic). While we strive to provide useful insights, outputs may contain inaccuracies, outdated information, or "hallucinations." You must independently verify critical information and should not rely solely on AI-generated suggestions, especially for decisions related to your health, diet, or exercise.
No Medical Advice: Eylo is not a healthcare provider and does not provide medical diagnoses or treatments. Consult qualified professionals before making health-related changes. You acknowledge that using AI-generated recommendations involves inherent risks and agree to assume all responsibility.
a. Third-Party AI Providers
By using Eylo, you acknowledge that some AI functionalities depend on third-party models and APIs. While we select reputable partners and implement safeguards, their terms and policies may indirectly affect you. We encourage you to review their policies, available on their respective websites.
b. Safeguards and Flagging of Erroneous Content
We may implement measures to flag potentially erroneous or unreliable outputs and encourage users to treat all information from the AI with caution.
8. Explicit Consent for Certain Features
Some features, like voice inputs or image uploads, require explicit opt-in consent before use. You will be informed and asked to provide consent within the app's settings or onboarding process. You may withdraw this consent at any time through your account settings or by contacting us, though doing so may limit the availability of certain functionalities.
9. Privacy, Data Retention, and International Transfers
Your privacy is important. Our Privacy Policy explains how we collect, use, protect, and transfer your Personal Data, and how long we retain it. Generally, we retain personal data for as long as needed to provide the Services or as required by law. You may request deletion of your data by contacting us at contact@eylo.club; upon verification, we will delete or anonymize your data unless retention is legally required.
We comply with applicable data protection laws (e.g., GDPR) and employ legal mechanisms such as Standard Contractual Clauses for international transfers of personal data. By using Eylo, you consent to these transfers and the associated safeguards.
10. Intellectual Property Rights
All intellectual property in the Eylo app and Services belongs to Eylo or its licensors. You receive a non-exclusive, non-transferable license to use Eylo for personal, non-commercial purposes. You may not reproduce, modify, distribute, or create derivative works from Eylo's content without our written authorization.
11. Subscription Plans and Billing Terms
Eylo offers a Free plan and several paid subscription tiers. Each plan provides a monthly message quota for interacting with the AI coach. Exact fees, quotas, and any regional variations are displayed in-app or on our website at the moment of purchase.
a. Billing Cycle and Renewal
Your plan—whether Free or paid—runs from the calendar day you start it until the same calendar day in the next month, or the closest possible day if the next month does not contain that date. For example, a subscription that begins on 24 May ends on 24 June; one that begins on 31 May ends on 30 June. At the start of each new cycle, your message allowance resets, and unused messages do not roll over. Subscriptions renew automatically at the start of every new cycle unless you cancel before the renewal date. By subscribing, you authorise Eylo to charge your chosen payment method in advance each cycle for the amount shown at checkout. If pricing or quota terms change, we will give prior notice and the opportunity to cancel; continuing to use the service after the effective date constitutes acceptance of the new terms.
b. Grace Period for Failed Payments
If a recurring payment fails, your paid features will remain fully available for a sixteen-day grace period that falls inside the unpaid billing cycle. During this time, the Apple App Store or Google Play—and Eylo, via those stores—will automatically retry the charge. If payment cannot be collected by the end of the 16-day grace period, your subscription will terminate, and you will lose access to paid features.
c. Cancellation
You may cancel at any time through the Eylo settings screen or, if you subscribed via the Apple App Store or Google Play, through that store's subscription-management interface. Cancellation takes effect at the end of your current cycle. You will retain access to paid features and any remaining messages until the cycle ends, and no further charges will be made.
d. Refunds
Subscription fees are non-refundable, and partial cycles are not prorated, except where mandatory consumer-protection laws require otherwise.
Cooling-off period (EU/UK only). Consumers located in the European Union or the United Kingdom may withdraw from a new subscription within 14 days of purchase and receive a full refund. By choosing to access or use any paid feature before the 14-day period ends, you expressly request immediate provision of the digital service and acknowledge that you waive your right to a full refund under applicable EU/UK law.
To exercise your statutory withdrawal right—or to request a discretionary refund for subscription errors or other exceptional circumstances—email support@eylo.club. Eylo may, at its discretion and in accordance with applicable law, grant refunds or credits.
By keeping an active Eylo account, you agree to these billing terms. If you do not wish to maintain a paid subscription, you may remain on the Free plan at no cost, subject to its message limits.
12. Service Availability and Changes
We strive for reliable operation but do not guarantee uninterrupted, error-free availability. Factors beyond our control (maintenance, technical issues, force majeure) may cause interruptions. We will endeavor to provide advance notice of planned downtime.
13. Termination
You may delete your account at any time. We may suspend or terminate your account if you breach these Terms or engage in conduct harmful to the Services or other users. Upon termination, your data will be handled per our Privacy Policy and applicable laws. Termination does not relieve you of payment obligations incurred prior to termination.
14. Disclaimers and Limitation of Liability
No Warranties: Eylo's Services are provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee the accuracy, completeness, or reliability of AI-generated content.
No Medical or Professional Advice: Eylo does not provide medical or healthcare services. Always consult a qualified professional.
Liability Limit: To the fullest extent permitted by law, Eylo, its affiliates, and service providers are not liable for indirect, incidental, special, consequential, or punitive damages. If liability cannot be fully disclaimed under law, our maximum liability is limited to the amount you paid for the Services in the 12 months prior to the event giving rise to the claim.
You accept full responsibility for decisions made based on Eylo's suggestions and agree to hold Eylo harmless for any health-related outcomes.
15. Fair Usage Policy
Eylo is intended for normal, personal, human-driven use. You agree not to automate, script, or outsource interactions with the app; not to connect Eylo to any unofficial API, bot framework, scraping tool, macro, or similar system; and not to route Eylo's outputs into another software or service in a way that bypasses our user interface or message limits. You also agree not to share, resell, or sublicense your account, to avoid simultaneous log-ins that suggest pooled or institutional use, and not to engage in any activity that degrades performance for other users or attempts to reverse-engineer, probe, or disrupt Eylo's infrastructure. Eylo reserves the right to monitor usage, rate-limit, suspend, or terminate accounts that violate this policy or otherwise generate traffic inconsistent with normal individual use.
16. Content and Coaching Disclaimer
All information, insights, and recommendations generated by Eylo's AI features are offered solely for general fitness and nutrition guidance and do not constitute medical, nutritional, psychological, or professional advice. Outputs may contain inaccuracies, be incomplete, or become outdated; you must verify critical information independently and consult qualified professionals before making health-related decisions. You assume full responsibility for any actions taken based on Eylo's content, and Eylo disclaims all liability for injury, loss, or emotional distress that may result from your use of the Services. The optional "Tough Love" persona employs a deliberately blunt, unsympathetic tone designed to motivate some users; by enabling it you acknowledge and accept this style, confirm that such feedback is appropriate for you, and understand that you may switch to a different coaching persona or discontinue use at any time.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, except where local consumer protection laws in your jurisdiction mandate otherwise. Mandatory consumer rights prevail over any conflicting Terms.
a. Arbitration
Except where prohibited by law, disputes arising from these Terms or your use of Eylo shall be resolved through binding arbitration in English, administered by the American Arbitration Association (AAA) or a similar recognized body. If local laws prohibit arbitration, you may have the right to seek remedies in your local courts.
b. Class Action Waiver
To the extent permitted by law, you waive the right to participate in any class or collective action. If this waiver is unenforceable in your jurisdiction, it does not apply.
c. Jurisdiction and Venue
If arbitration is not permitted, any non-arbitrable claims shall be brought in the courts located in Delaware, USA, unless local law requires otherwise.
d. Opt-out of Arbitration
If you are a consumer, you may opt out of binding arbitration by notifying Eylo within 30 days of accepting these Terms by emailing legal@eylo.club.
18. Accessibility, Translation, and App Store Terms
We strive to make these Terms accessible. Translations or alternative formats may be provided, but if there is any discrepancy, the English version prevails (except where prohibited by local law). If you downloaded Eylo from an app store (e.g., Apple App Store, Google Play), you acknowledge that these Terms are between you and Eylo, not the app store provider. Your use of the app may also be subject to the app store's terms and conditions, which apply in addition to these Terms. In case of conflict, the more protective provision for the user will prevail.
19. User Feedback and Suggestions
If you submit feedback, ideas, or suggestions to Eylo, you grant us a non-exclusive, worldwide, royalty-free license to use and incorporate them into our products and services without obligation to compensate or credit you.
20. Future Compliance with AI Regulations
We acknowledge that AI regulations and laws may evolve. Eylo commits to complying with any future AI-specific legal requirements and adjusting its practices accordingly. Material changes related to AI compliance will be communicated to you.
21. Updates to the Terms
We may revise these Terms as our Services evolve, as laws change, or as new AI regulations emerge. Material changes will be communicated, and continued use after the effective date signifies acceptance. If you disagree, discontinue using Eylo.
22. Miscellaneous
Severability: If any provision is deemed invalid, remaining provisions remain in effect.
Waiver: Eylo's failure to enforce a provision is not a waiver.
Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement.
Assignment: You may not assign rights or obligations without our written consent. We may assign our rights and obligations in connection with a merger, acquisition, or asset sale.
Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
